By executing an insertion order, service contract, or electronic sign-up via the b4speak platform (the "Platform"), the contracting educational institution, district, or business entity ("Customer" or "School") agrees to be bound by these B2B Terms of Use and our Data Privacy for Schools Policy. These Terms represent a legally binding enterprise agreement.
Subject to the terms and conditions outlined herein and the timely payment of subscription fees, B4Speak grants the Customer a non-exclusive, non-transferable, non-sublicensable, worldwide, revocable license to access and use the Platform strictly for internal educational operations (including administrative tracking, pedagogical setup, and student fluency evaluation tools).
All underlying software architecture, artificial intelligence models, proprietary curriculum materials, branding, and interfaces ("b4speak Intellectual Property") remain the sole property of b4speak Inc.
The Customer is responsible for managing its authorized users (Administrators, Coordinators, Teachers, and Students). The School assumes full responsibility for the confidentiality of authorization credentials. We rely on the School's authorization protocols (e.g., Single Sign-On (SSO) or roster syncs) to identify end-users. The School must notify us immediately of any suspected security breaches or unauthorized use.
We strive to maintain a 99.9% uptime Service Level Agreement (SLA) for our Enterprise Customers. While our goal is continuous accessibility, we reserve the right to temporarily suspend, interrupt, or restrict access to the Platform for urgent security patches or scheduled maintenance. Notice of scheduled maintenance will be delivered via the Admin Dashboards at least 72 hours in advance.
b4speak utilizes generative artificial intelligence models (such as Google GenAI) for conversational practice and evaluating speech fluency. Schools explicitly acknowledge that:
Unless specified otherwise in a separate Order Form, all quoted fees are exclusive of taxes. Invoices must be remitted within thirty (30) calendar days. Failure to remit payment may result in the suspension of bulk roster syncs and administrative access.
Unless governed by overriding municipal law applicable to public educational agencies, the total cumulative liability of b4speak arising out of or related to these Terms shall not exceed the total subscription fees paid by the School in the twelve (12) months preceding the claim.
The Customer agrees to indemnify and hold b4speak harmless against claims arising from the Customer's breach of these terms, mishandling of its student authentication mechanisms, or violation of local education code.
These Terms shall be governed by and construed in accordance with standard international commercial law (or the specific local jurisdiction agreed upon in the signed School Addendum). Both parties consent to exclusive negotiation and binding arbitration for any disputes before proceeding to formal litigation.
